Boston April 2. 1870

To the Board of Trustees} Mount Auburn Cemetery}

The committee to whom was referred the recommendations of the Proprietors made at the last annual meeting and the papers connected therewith, for investigation, and examination.

Make the following Report,.

After careful consideration they recommend the following amendments to the By-laws.

Article 3: Strike out all after the word "Trustee" in the third line of the last clause of said article, as printed on the 20thpage of the Catalogue of the year 1867, and insert the following: and neither the Superintendent, Gate Keeper, nor any paid officer, or Servant of the cor-poration shall have any interest in, or receive any compensaton whatever, direct or indirect, for any work designed for the cemetery, or for any lot or lots therein, or for materials furnished for the Same in any Manner whatsoever.

Article 7: Strike out all after the word "By-laws" as printed on the 26thline of the 24thpage of the Catalogue of the year 1867. and also the amendment to Said article adopted as per records of the Secretary January 11th 1870. And insert the following:

He shall render Special Services to any proprietor in the laying out and ornamention of any lot, upon a request in writing of the proprietor thereof, and shall charge, on account of the corporation, such compensation for Said Servies, as the "committee on Lots" may determine, and render a detailed statement of all Such Services Monthly, or oftener, to the Treasurer for collection.

The compensation of the Superintendent shall be a Salary, to be fixed annually by the Trustees, and he shall havethe use of a house, with the grounds thereto belonging,and he shall havethe use of a horse & Vehicle, and the Services of one Man, at the expense of the corporation, and shall have no other perquisites; and he shall not receive from any proprietor or contractor for work or materials any commission

fee, present, or any compensation whatever, direct or indirect, for any Services rendered by him, and nothing contained in any other article of the By-laws shall be so construed as to conflict with, or set aside these restrictions.

In regard to the recommendation of the proprietors, "That the trustees be requested to place some other Superintendent in office at Mt Auburn instead of Capt Winsor" The committee not being able to arrive at a unanimous conclusion, and deeming it essential to a correct understanding of the matter, that the testimony taken by them should be carefully examined by the Trustees, it was voted, to report the same to the Board, for such action as they may deem expedient.
